Terms of Service

The Service allows our clients to work with Social Branch Co. on social media content planning, content creation, internal and client review, approval, and — where a client connects their own Facebook Page and/or Instagram professional account — publishing approved content and retrieving performance analytics on the client's behalf. Access to the client portal is provided to individuals authorized by our clients for that purpose.

You are responsible for maintaining the confidentiality of your login credentials and for all activity that occurs under your account. Please notify us promptly at the contact address below if you believe your account has been accessed without authorization.

If you connect a Facebook Page and/or a linked Instagram professional account to the Service, you represent that you are authorized to grant Social Branch Co. the permissions requested for that account. Social Branch Co. will only access and use that account's information within the scope of the permissions granted, and only to provide the Service, as described in our Privacy Policy. You may revoke these permissions at any time directly through Meta's own account settings.

You retain ownership of the business information, brand assets, files, and other materials you provide to us ("Your Materials"). You grant Social Branch Co. a limited right to use Your Materials solely to provide the Service to you, including to plan, draft, prepare, and — once you approve it — publish content on your behalf. Content we create for you as part of the Service, once approved and delivered, is yours to use as agreed between us.

You agree not to use the Service to:

• Submit content or materials you do not have the right to use or that infringe another party's rights.
• Violate any applicable law, or the terms of service of Facebook, Instagram, or any other connected platform.
• Attempt to gain unauthorized access to the Service, other clients' accounts or data, or our underlying systems.
• Interfere with or disrupt the integrity or performance of the Service.

The Service relies on and interacts with third-party platforms and service providers — including Meta Platforms, Inc. (Facebook and Instagram), our hosting and database providers, and an AI service provider used to help draft content. Your use of Facebook and Instagram through the Service is also subject to Meta's own terms and policies. We are not responsible for the availability, content, or practices of these third-party platforms.

We aim to keep the Service available and reliable, but we do not guarantee that it will be uninterrupted, error-free, or available at all times. Features that depend on third-party platforms (such as publishing to Facebook or Instagram, or retrieving analytics) also depend on those platforms' own availability and API access, which are outside our control.

The Service itself — including its software, design, and underlying technology — is the property of Social Branch Co. and is protected by applicable intellectual property laws. Nothing in these Terms transfers ownership of the Service to you. Ownership of Your Materials and of approved, delivered content is addressed in Section 4 above.

Either party may end the working relationship and discontinue use of the Service at any time, as agreed between us. Upon termination, we will handle your stored information in accordance with our Privacy Policy, including your ability to request deletion as described in our Data Deletion Instructions.

The Service is provided "as is" and "as available," without warranties of any kind, express or implied, to the fullest extent permitted by applicable law.

To the fullest extent permitted by applicable law, Social Branch Co. will not be liable for any indirect, incidental, or consequential damages arising from your use of the Service, including damages resulting from the unavailability of, or changes to, third-party platforms such as Facebook or Instagram.

We may update these Terms from time to time. If we make material changes, we will update the effective date above and, where appropriate, notify our clients directly. Continued use of the Service after changes take effect constitutes acceptance of the updated Terms.
